These Terms and Conditions (“Terms”) govern your use of the VELA platform, products, and services (collectively, the “Service”) provided by AD Teknoloji Anonim Şirketi, a company incorporated under the laws of Turkey (“VELA,” “we,” “our,” or “us”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Who We Are
VELA is an AI-powered chatbot platform that helps marinas and hospitality businesses automate guest communication through channels like WhatsApp, Instagram, Facebook, and websites. The Service is operated by:

2. Eligibility
You must be at least 18 years old to use our Services. If you use our Services on behalf of a business or organization, you confirm that you are authorized to bind that entity to these Terms.
3. Services Provided
VELA offers:
AI chatbot software for marinas
Integration with multiple messaging channels
Data dashboards, automation tools, and analytics
Subscription-based services and support
We may add or remove features at any time. Some features may be available only with paid plans.
4. User Responsibilities
You agree to:
Use the Service only for lawful purposes;
Not interfere with the operation or security of our Service;
Ensure any data or content you submit is accurate and legal;
Not attempt to copy, modify, or reverse engineer any part of the Service.
5. Intellectual Property
VELA and all related content, software, and logos are the property of AD Teknoloji A.Ş. or its licensors. We grant you a non-exclusive, non-transferable license to use the Service according to these Terms.
6. Subscription & Payment
If you subscribe to a paid plan:
You agree to pay applicable fees on time;
Fees are non-refundable unless stated otherwise;
Late or failed payments may result in service suspension.
We use third-party processors (e.g., Stripe) to manage payments securely.
7. Account & Access
Each client is responsible for maintaining the confidentiality of access credentials and all activities under their account. You may cancel your subscription at any time. Upon cancellation, your access will continue until the end of the billing period.
8. Data & Privacy
VELA processes data on behalf of marina clients. We act as a data processor, and our clients are the data controllers.
We comply with:
EU GDPR for European users,
California Consumer Privacy Act (CCPA) for applicable US users,
KVKK under Turkish law.

9. Service Availability & Support
We strive to maintain 99.9% uptime. However, services may be unavailable during maintenance or due to factors outside our control. Support is provided via email or live chat based on your subscription tier.
10. Limitation of Liability
To the fullest extent permitted by law:
We are not liable for indirect, incidental, or consequential damages;
Our total liability will not exceed the amount you paid to us in the 12 months before the claim;
The Service is provided “as-is” and “as available.”
Some jurisdictions do not allow certain limitations, so these may not apply to you.
11. Termination
We may suspend or terminate your access to the Service if you violate these Terms or applicable laws.
12. Modifications
We reserve the right to update these Terms at any time. Updates will be published on our website. Continued use after the effective date indicates your acceptance.
13. Governing Law
These Terms are governed by the laws of the Republic of Turkey, without regard to conflict-of-law principles.
For EU or US-based clients, we offer good-faith dispute resolution. If unresolved, disputes may be referred to the Istanbul Anadolu Courts and Execution Offices unless local laws require otherwise.
